Access Commerce announces the sale of its Innocad subsidiary and the completion of its non-strategic Business Divestment Program

Chicago, Illinois and Toulouse, France, October 19, 2009

Access Commerce (FR0000074247), a leading provider of multichannel selling and configurator software, today announced that it has completed its non-strategic Business Divestment Program. Following the completion of this program, which has been running since early this year, Access Commerce will now channel all its resources into the design and distribution of Cameleon solutions.
Access Commerce announces the sale of the wholly-owned Innocad SAS subsidiary, which specialized in the sale and implementation of computer-assisted ordering and product data management solutions, to the Axemble Group, the leading distributor and integrator of SolidWorks solutions in France and Switzerland. Innocad posted revenue of €1.43 million in 2008 and €0.83 million in the first half of 2009.
Jacques Soumeillan, Chairman and Chief Executive Officer of Access Commerce, stated “Following the sale of our ERP business in the first half, we are now announcing the sale of Innocad, our specialized CAO/PDM subsidiary, bringing to an end the divestment of our non-strategic businesses. Going forward, Access Commerce’s new scope will enable us to channel all our human and financial resources into the success of the Cameleon offering. This focus on Cameleon is a key component in the implementation of our ambitious international development strategy. Our goal is to accelerate the development of our Cameleon platform and to strengthen our leadership in the field of multi-channel sales and sales configurators. We wanted to be able to wholly focus our efforts on this goal, and now we are. On top of this, the sale strengthens our financial position, which was already strong at June 30, 2009 with €5.21 million in cash. Finally, by selecting the Axemble group we have made sure that Innocad customers will be able to continue their contracts with a preferred partner, the French SolidWorks leader.”
Christian Donzel, Chairman of Axemble, added: “We are very enthusiastic about the prospect of Innocad joining our Group. This acquisition will reaffirm our position as the leader in the SolidWorks field, strengthen our Toulouse branch and expand our presence in the greater Southwest region of France. Axemble has once again shown its ability to grow, both organically and via acquisitions. Axemble and Access Commerce share a great number of values, including our culture of innovation and our employees’ commitment to customer service. We will also act quickly to provide Innocad customers with the quality of service that is our greatest asset and underpins our reputation.”
